Trade Terms & Conditions

1. Payment Terms & Delivery

  • Pricing and Tax: All prices are quoted in GBP and are exclusive of VAT, which will be charged at the prevailing rate where applicable.
  • First Order: Must be paid on a strict pro-forma basis.
  • Bespoke Orders: Require a 50% pro-forma payment upfront.
  • Standard Future Orders: Settled on a 30-day invoice from the date of delivery.
  • Dispatch Control: The Gallery reserves the right to withhold dispatch on any order until full payment is received.
  • Risk of Loss: Risk of damage to or loss of the products transfers entirely to the buyer upon dispatch from the Gallery.

2. Damages, Discrepancies & Returns

  • Reporting Window: Any damages or order discrepancies must be reported to the Gallery within 5 days of receipt.
  • Return Authorisation: All returns must be officially agreed upon in writing before being sent back.
  • Exclusions: The Gallery does not accept returns for bespoke or made-to-order items.

3. Resale Restrictions

  • Third-Party Marketplaces: Products may not be resold via online third-party marketplaces (e.g., Amazon, eBay, Etsy) without prior written approval from the Gallery.

4. Copyright & Brand Usage

  • Design Protection: Buyers may not reproduce, adapt, or replicate any of the Gallery's designs.
  • Imagery & Branding: The use of the Gallery's imagery or branding is strictly prohibited without prior written consent.
  • Credit Attribution: Where required and approved, appropriate credit must always be given to the Gallery.

5. Intellectual Property & Liability

  • Intellectual Property: All designs and products remain the exclusive intellectual property of the Gallery.
  • Limitation of Liability: The Gallery shall not be liable for any indirect or consequential losses arising from the use or resale of its products.
  • Force Majeure: The Gallery shall not be held responsible for delays or failures to fulfil its obligations due to circumstances beyond its reasonable control.

6. Governing Law

  • Jurisdiction: These terms are governed by and construed in accordance with the laws of England and Wales.
